These Terms of Service (“Terms”) govern your use of the CredeeApp platform, including our website, software, and related services (the “Service”) provided by Credee Ltd (“Credee Ltd”, “CredeeApp”, “we”, “us”, or “our”).
CredeeApp is a product owned and operated by Credee Ltd.
These Terms incorporate our Privacy Policy at https://credeeapp.co.uk/privacy-policy. By accessing, registering for, or using the Service (as defined below), you agree to be bound by these Terms.
1. Definitions
(a) "Administrator" shall mean a Subscriber (as defined in Section 1(i)) with authority to designate additional Authorized Users and/or Administrators, and commit the Subscriber to additional services from Credee Ltd.
(b) "Agreement" shall mean these Terms and any documents incorporated by reference, including the Privacy Policy located at https://credeeapp.co.uk/privacy-policy.
(c) "Authorized User" shall mean an individual subscriber or the partners, members, employees, temporary employees, and independent contractors of an organization with a subscription to the Service who have been added to the account as users.
(d) "Confidential Information" shall mean the Content (as defined in Section 1(e)) and any information, technical data, or know-how considered proprietary or confidential by either party to this Agreement including, but not limited to, either party's research, services, inventions, processes, specifications, designs, drawings, diagrams, concepts, marketing, techniques, documentation, source code, customer information, personal data, pricing information, procedures, menu concepts, business and marketing plans or strategies, financial information, and business opportunities disclosed by either party before or after the Effective Date of this Agreement, either directly or indirectly in any form whatsoever, including in writing, orally, machine-readable form or through access to either party's premises.
(e) "Content" shall mean any information you upload or post to the Service and any information provided by you to CredeeApp in connection with the Service, including, without limitation, information about your Authorized Users or Registered Clients, as defined in Section 1(g).
(f) "Primary Subscriber" shall mean the Subscriber who initiated the Services offered by CredeeApp and is assumed by CredeeApp to have the sole authority to administer the subscription.
(g) "Registered Client" means an individual who has been invited to use the client-facing features of the Service in a limited capacity as a client of an Authorized User.
(h) "Service" shall mean the CredeeApp platform and any related software or services provided by Credee Ltd.
(i) "Subscriber" shall mean the individual or legal entity that registers for, purchases, or subscribes to the Service.
(j) "Security Emergency" shall mean a violation by the Subscriber of this Agreement that (a) could disrupt (i) CredeeApp's provision of the Service; (ii) the business of other subscribers to the Service; or (iii) the network or servers used to provide the Service; or (b) provides unauthorized third party access to the Service.
2. Limited License & Use of the Service
2.1 The Subscriber is granted a non-exclusive, non-transferable, limited license to access and use the Service for its internal business purposes, subject to these Terms.
2.2 Credee Ltd does not review or pre-screen Content and does not claim any intellectual property rights with respect to the Content submitted to the Service.
2.3 Authorized Users agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service, including access to the Service or any visual design elements, without the prior written permission of Credee Ltd.
2.4 Authorized Users agree not to modify, reverse engineer, adapt, or otherwise tamper with the Service, or attempt to create any derivative works or falsely imply association with CredeeApp or Credee Ltd.
2.5 Authorized Users agree not to use the Service in any manner that infringes intellectual property rights or is unlawful, offensive, threatening, defamatory, obscene, or otherwise in violation of applicable laws or these Terms.
2.6 Authorized Users agree not to use the Service to upload, post, host, or transmit unsolicited communications (including spam or SMS messages), malicious code, viruses, worms, or any harmful software.
2.7 Except for the limited license granted under this Agreement, all rights, title, and interest in and to the Service, including all intellectual property rights, remain the exclusive property of Credee Ltd.
2.8 Where Authorized Users configure the Service to make Content publicly available ("Public Content"), they acknowledge that such Content may be accessible to third parties. Authorized Users are responsible for determining whether such sharing is appropriate. Credee Ltd reserves the right to remove any Public Content that violates these Terms.
2.9 Credee Ltd may modify, update, or discontinue any part of the Service at any time. Continued use of the Service after such changes have been notified shall constitute acceptance of the updated Service.
2.10 Credee Ltd may temporarily suspend access to the Service for maintenance, upgrades, or operational reasons. Where reasonably practicable, at least two (2) business days’ notice will be provided via email or in-product notification. In urgent situations, suspension may occur without prior notice.
2.11 Credee Ltd stores Content on secure and redundant systems. Subscribers are responsible for maintaining their own backups where required.
2.12 The Subscriber grants Credee Ltd a non-exclusive, royalty-free right to use Content and Confidential Information solely for the purpose of providing and improving the Service, including generating anonymized and aggregated usage data. Such anonymized and aggregated data will not identify any individual or Subscriber.
2.13 The Service is provided as a software platform with configurable features. Subscribers are responsible for ensuring that their use of the Service complies with applicable laws and requirements in their jurisdiction.
2.14 Credee Ltd provides software tools only. Any payment-related functionality available through the Service is facilitated by third-party payment providers, and Credee Ltd does not independently process or hold customer funds.
2.15 Credee Ltd provides a software platform that enables businesses to manage customer accounts, subscriptions, and billing workflows. Credee Ltd does not provide financial services, act as a financial intermediary, or offer regulated financial products or services.
3. Access to the Service
3.1 The Subscriber may access and use the Service only through Authorized Users or Registered Clients. Authorized Users must provide accurate and complete information, including their full legal name, a valid email address, and any other information reasonably required to access the Service.
3.2 Each Authorized User will be assigned a unique identifier (“Username”) to access the Service. Usernames must be used only by the individual to whom they are assigned and must not be shared with any other person.
3.3 The initial Administrator shall be the Primary Subscriber and shall have authority to manage the subscription, including appointing additional Authorized Users and Administrators. Each subscription may designate multiple Administrators. Administrators are responsible for managing access rights and may deactivate any Username at their discretion.
3.4 The Subscriber and its Administrators are responsible for all activity carried out by Authorized Users under their account.
3.5 As between the Subscriber and Credee Ltd, all Content uploaded to or created within the Service remains the property of the Subscriber. Upon cancellation or termination of the Service, Credee Ltd will make reasonable efforts to provide access to such Content, subject to applicable law and technical limitations.
3.6 Access to and use of the Service by automated means (including robotic, scripted, or programmatic methods) other than those expressly provided by the Service is prohibited.
3.7 Authorized Users may access and use the Service via an Application Programming Interface (“API”), subject to the following conditions:
(a) Any use of the Service via the API, including through third-party applications, is subject to these Terms;
(b) To the fullest extent permitted by law, Credee Ltd shall not be liable for any indirect, incidental, special, or consequential loss arising from the use of the API or third-party integrations;
(c) Credee Ltd may suspend or restrict API access where it reasonably determines that usage is excessive or may impact the stability or security of the Service;
(d) Credee Ltd may modify or discontinue API access or functionality at any time, with or without notice.
4. Confidentiality
4.1 Each party agrees to treat all Confidential Information as confidential and to use or disclose such Confidential Information only as necessary to perform its obligations under this Agreement or as required by applicable law.
4.2 Credee Ltd and any third-party vendors or hosting providers engaged in the provision of the Service shall treat all Content as confidential and shall not access, use, or disclose such Content except:
(a) as necessary to provide and maintain the Service;
(b) in accordance with this Agreement and applicable law; or
(c) as otherwise authorized by the Subscriber in writing.
5. Security and Access
5.1 Credee Ltd is responsible for implementing appropriate technical and organisational measures to ensure a secure method of authentication and access to the Service. Credee Ltd will implement mechanisms that:
(a) enable secure user password management;
(b) transmit authentication credentials in a secure format; and
(c) protect access credentials in accordance with industry-standard security practices.
5.2 The Subscriber is responsible for maintaining the confidentiality and security of all usernames, passwords, and access credentials associated with its account, and for ensuring that all information provided to the Service is accurate and up to date.
5.3 The Subscriber shall implement appropriate internal controls to prevent unauthorized access to the Service and shall promptly notify Credee Ltd if it becomes aware of any unauthorized use, loss, or compromise of account credentials.
5.4 Credee Ltd, together with its third-party vendors and hosting providers, shall maintain appropriate security measures, including:
(a) applying industry-standard practices for the secure transmission and storage of Content;
(b) implementing network and system security controls, including firewalls, intrusion detection, authentication mechanisms, and vulnerability management processes;
(c) ensuring that hosting environments meet recognised security and privacy standards; and
(d) where applicable and subject to appropriate confidentiality obligations, providing information regarding security measures or independent audit reports (such as SOC 2 or equivalent) upon reasonable request.
5.5 In the event of a Security Breach, Credee Ltd shall notify the Subscriber without undue delay after becoming aware of the breach and, where applicable, in accordance with its obligations under relevant data protection laws.
5.6 In the event of a Security Breach, Credee Ltd shall use commercially reasonable efforts to:
(a) investigate the nature and scope of the breach;
(b) mitigate the effects of the breach and prevent recurrence; and
(c) cooperate with the Subscriber as reasonably required to support compliance with applicable legal and regulatory obligations.
6. Legal Compliance & Data Protection
6.1 Credee Ltd is committed to protecting Content and Confidential Information in accordance with applicable law. Credee Ltd may disclose Confidential Information where required or permitted by law, including in response to a court order, legal process, or request from a regulatory or law enforcement authority.
Where legally permitted, Credee Ltd will provide the Subscriber with prior written notice of such disclosure to enable the Subscriber to seek appropriate protective measures. Credee Ltd will disclose only the minimum amount of Confidential Information required to comply with such legal obligation.
6.2 Data ProtectionEach party shall comply with all applicable data protection laws, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.
To the extent that Credee Ltd processes personal data on behalf of the Subscriber, Credee Ltd shall act as a data processor and the Subscriber shall act as a data controller.
6.3 Processing Obligations
Where Credee Ltd acts as a data processor, it shall:
(a) process personal data only on documented instructions from the Subscriber;
(b) implement appropriate technical and organisational measures to protect personal data;
(c) ensure that persons authorised to process personal data are subject to confidentiality obligations;
(d) assist the Subscriber, where reasonably required, in responding to data subject rights requests;
(e) notify the Subscriber without undue delay after becoming aware of a personal data breach;
(f) provide reasonable assistance to enable the Subscriber to comply with its obligations relating to security, breach notification, data protection impact assessments, and regulatory consultations; and
(g) ensure that any international transfers of personal data are carried out in accordance with applicable data protection laws and appropriate safeguards.
6.4 International Transfers
Personal data may be processed or stored outside the United Kingdom. Where such transfers occur, Credee Ltd shall ensure that appropriate safeguards are in place in accordance with applicable data protection laws.
7. Managed Backup and Archiving
7.1 Credee Ltd implements backup and data protection measures designed to support the restoration of Content in the event of data loss or corruption. While Credee Ltd uses commercially reasonable efforts to maintain the availability and integrity of Content, the Subscriber remains responsible for maintaining its own backup copies where appropriate.
7.2 Upon cancellation or termination of the Service, Credee Ltd will provide the Subscriber with a reasonable opportunity to retrieve its Content for a period of up to ninety (90) days, after which such Content may be permanently deleted in accordance with this Agreement.
8. Payment, Refunds, and Subscription Changes
8.1 Subscribers with paid subscriptions must provide a valid payment method through the designated payment provider. Subscription fees for the Service are charged in accordance with the selected plan. All fees are exclusive of applicable taxes unless otherwise stated. The Subscriber is responsible for all applicable taxes, including value added tax (VAT), as required by applicable law.
8.2 Payment processing services are provided by third-party payment providers, such as Stripe. All payments are subject to the terms and conditions of the applicable payment provider. Credee Ltd does not operate as a payment processor, bank, or financial institution, and does not independently hold or process customer funds.
Credee Ltd does not at any time take possession of or control customer funds.
8.3 Subscription fees will be billed in advance on a recurring basis. Monthly subscriptions are billed on a recurring 30-day cycle, and annual subscriptions are billed annually. Where a free trial is offered, billing will commence at the end of the trial period unless the subscription is cancelled prior to its expiry.
8.4 Except where required by applicable law, all fees are non-refundable. No refunds or credits will be provided for partial billing periods, unused services, or cancellation during an active billing cycle.
8.5 Subscription upgrades, downgrades, or changes may result in adjusted charges. Any pricing changes will be communicated in advance and will take effect at the next billing cycle unless otherwise stated. Changes to subscription plans may result in prorated charges.
8.6 The Subscriber authorizes the applicable payment provider to charge the payment method on file for all fees due under the selected subscription plan, including any applicable prorated charges.
8.7 Credee Ltd may update pricing from time to time. Any changes to pricing will be communicated to the Subscriber in advance and will apply from the next billing cycle.
8.8 The Subscriber is responsible for ensuring that all payment information is accurate and up to date. Failure to process payment may result in suspension or termination of access to the Service in accordance with these Terms.
9. Cancellation and Termination
9.1 The Subscriber may cancel its subscription at any time through the Service or by contacting support, subject to any applicable billing terms. Cancellation will take effect at the end of the current billing period unless otherwise specified. No refunds will be provided except as required by applicable law.
9.2 Credee Ltd may suspend or terminate access to the Service with immediate effect where:
(a) the Subscriber is in material breach of this Agreement; or
(b) such action is reasonably necessary to protect the security, integrity, or operation of the Service (including in the event of a Security Emergency).
9.3 Where a breach does not require immediate suspension, Credee Ltd will provide reasonable notice to the Subscriber and an opportunity to remedy the breach within a specified period. If the breach is not remedied within such period, Credee Ltd may suspend or terminate access to the Service.
9.4 Upon cancellation or termination of the Service, Credee Ltd will provide the Subscriber with a reasonable opportunity to access and retrieve its Content in accordance with Section 7. After a period of up to ninety (90) days following termination, such Content may be permanently deleted from the Service.
10. Limitation of Liability
10.1 Nothing in this Agreement shall exclude or limit either party’s liability for:
(a) death or personal injury caused by negligence;
(b) fraud or fraudulent misrepresentation; or
(c) any other liability which cannot be excluded or limited under applicable law.
10.2 Subject to Section 10.1, and to the fullest extent permitted by law, Credee Ltd shall not be liable for any:
(a) loss of profits;
(b) loss of revenue;
(c) loss of business or business opportunity;
(d) loss of anticipated savings;
(e) loss of goodwill; or
(f) any indirect or consequential loss or damage,
arising out of or in connection with this Agreement, whether in contract, tort (including negligence), or otherwise.
10.3 Subject to Sections 10.1 and 10.2, Credee Ltd’s total aggregate liability arising out of or in connection with this Agreement shall not exceed the total fees paid by the Subscriber to Credee Ltd in the twelve (12) months preceding the event giving rise to the claim.
10.4 Nothing in this Agreement shall exclude or limit the Subscriber’s obligation to pay any fees due under this Agreement.
11. Disclaimer of Warranties
11.1 To the fullest extent permitted by applicable law, the Service is provided on an “as is” and “as available” basis. Credee Ltd makes no representations or warranties of any kind, whether express, implied, or statutory, including any implied warranties of satisfactory quality, fitness for a particular purpose, title, or non-infringement.
11.2 Credee Ltd does not warrant that the Service will be uninterrupted, error-free, secure, or compatible with all devices, systems, or software, nor does it warrant that any results obtained from use of the Service will be accurate or reliable.
11.3 Nothing in this section shall limit or exclude any liability which cannot be limited or excluded under applicable law, or affect Credee Ltd’s obligations under this Agreement in relation to confidentiality, data protection, or security.
12. Indemnification
12.1 The Subscriber shall indemnify and hold harmless Credee Ltd from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
(a) any breach of this Agreement by the Subscriber or its Authorized Users; or
(b) any negligent or unlawful acts or omissions of the Subscriber or its Authorized Users.
Credee Ltd will provide the Subscriber with prompt notice of any such claim and will reasonably cooperate with the Subscriber in the defence of the claim, at the Subscriber’s cost.
12.2 Credee Ltd shall indemnify the Subscriber against any claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from any third-party claim that the Service, when used in accordance with this Agreement, infringes the intellectual property rights of a third party, provided that the Subscriber:
(a) promptly notifies Credee Ltd of the claim;
(b) allows Credee Ltd to control the defence and settlement of the claim; and
(c) provides reasonable assistance to Credee Ltd, at Credee Ltd’s expense.
12.3 Credee Ltd shall have no liability under this section to the extent that any claim arises from:
(a) modification of the Service by the Subscriber;
(b) use of the Service in combination with products or services not provided by Credee Ltd; or
(c) use of the Service in a manner not in accordance with this Agreement.
12.4 This section does not limit or exclude either party’s liability where such limitation or exclusion is not permitted under applicable law.
13. CredeeApp Payments
13.1 Credee Ltd may offer optional features within the Service that enable Subscribers to facilitate payments from their customers through third-party payment providers (“CredeeApp Payments”).
13.2 Payment processing services are provided exclusively by third-party payment providers, such as Stripe Payments or its affiliates (“Payment Processor”), and are subject to the applicable terms and conditions of the Payment Processor, including any connected account or merchant agreements (the “Payment Processing Agreement”).
13.3 By enabling CredeeApp Payments, the Subscriber agrees to be bound by the Payment Processing Agreement and authorizes Credee Ltd to share relevant account and transaction information with the Payment Processor as necessary to facilitate payment processing.
13.4 The Payment Processor is solely responsible for the processing, authorization, settlement, and transfer of payment transactions. Credee Ltd does not operate as a bank, financial institution, or payment processor, and does not independently hold, receive, or control customer funds.
13.5 Credee Ltd may charge platform fees, subscription fees, or service-related fees in connection with the Service, as disclosed to the Subscriber. Such fees may be processed through the Payment Processor in accordance with its terms.
13.6 The Subscriber is responsible for complying with all applicable laws, regulations, and payment network rules in connection with its use of CredeeApp Payments, including maintaining accurate business and account information.
13.7 The Subscriber is responsible for managing customer relationships, including handling refunds, disputes, and customer communications, in accordance with applicable law and the Payment Processor’s requirements.
13.8 Credee Ltd may suspend or disable access to CredeeApp Payments where reasonably necessary to comply with legal obligations, Payment Processor requirements, or to protect the integrity and security of the Service.
13.9 The Subscriber may discontinue use of CredeeApp Payments at any time through the Service or by contacting support, subject to any applicable obligations under the Payment Processing Agreement.
13.10 Credee Ltd does not have access to or control over customer payment credentials, which are processed and stored by the Payment Processor.
14. Communications and Marketing Consent
14.1 Service Communications
Credee Ltd may send communications necessary for the operation of the Service, including account notifications, billing notices, security alerts, and service-related updates. Such communications are considered essential to the provision of the Service and do not require prior consent where permitted by applicable law.
14.2 Marketing Communications
Where required by applicable law, including the UK Privacy and Electronic Communications Regulations (PECR) and the UK General Data Protection Regulation (UK GDPR), Credee Ltd will obtain your prior consent before sending marketing communications by electronic means, including email, SMS, or telephone.
You may withdraw your consent to receive marketing communications at any time by using the unsubscribe mechanism provided in such communications or by contacting Credee Ltd at support@credeeapp.co.uk. Withdrawal of consent will not affect the lawfulness of any communications sent prior to such withdrawal.
14.3 Contact Information
By providing contact details, you confirm that such information is accurate and up to date. Where you provide contact details on behalf of another individual, you confirm that you have the authority to do so and have obtained any required consents under applicable law.
14.4 Message Charges
Standard message and data charges may apply in accordance with your mobile service provider’s terms.
15. Miscellaneous
15.1 Technical support and training may be made available to Authorized Users with active subscriptions via email, telephone, or electronic support channels.
15.2 The Subscriber acknowledges that Credee Ltd may use third-party vendors and hosting providers to supply the infrastructure, software, and related technology required to operate the Service.
15.3 The Service may allow integration with or access to third-party products and services (“Third Party Services”). Such Third Party Services are not part of the Service and are subject to their own terms and conditions. Credee Ltd does not control and is not responsible for Third Party Services. To the fullest extent permitted by law, Credee Ltd shall not be liable for any loss or damage arising from the use of Third Party Services.
15.4 The Subscriber acknowledges that transmission of information over the internet carries inherent risks. Credee Ltd implements appropriate security measures to protect Content but cannot guarantee absolute security. Credee Ltd will access and process Content only as necessary to provide the Service and in accordance with this Agreement and applicable law.
15.5 A failure or delay by either party to enforce any provision of this Agreement shall not constitute a waiver of that provision or any other provision.
15.6 This Agreement constitutes the entire agreement between the Subscriber and Credee Ltd in relation to the Service and supersedes all prior agreements, understandings, or arrangements.
15.7 Credee Ltd may update these Terms from time to time. Where changes are material, reasonable notice will be provided to Subscribers. Continued use of the Service after such notice shall constitute acceptance of the updated Terms, unless the Subscriber terminates the Service.
15.8 Neither party may assign or transfer its rights or obligations under this Agreement without the prior written consent of the other party, such consent not to be unreasonably withheld. However, either party may assign this Agreement without consent in connection with a merger, acquisition, or sale of substantially all of its assets, provided the assignee agrees to be bound by these Terms.
15.9 Governing Law and Jurisdiction
This Agreement and any dispute or claim arising out of or in connection with it shall be governed by and construed in accordance with the laws of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with this Agreement.
15.10 Force Majeure
Neither party shall be liable for any failure or delay in performance of its obligations under this Agreement due to events beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labour disputes, or internet service disruptions.
